1. Introduction
This End User License Agreement (“EULA”) is a legal agreement between you (“Licensee”, “Customer”, “you”) and ZexeTech SRL, trading as ZexeLabs (“ZexeLabs”, “we”, “our”, or “us”), regarding your use of the StockPilot WordPress plugin and any related documentation, updates, support services, and digital content.
This EULA applies to both the Free and Pro versions of StockPilot, although certain provisions apply only to commercial licenses purchased through Freemius.
By installing, activating, downloading, purchasing, or using StockPilot, you agree to this EULA.
2. Definitions
Software
The StockPilot WordPress plugin, including future updates, documentation, and associated digital materials.
Free Version
The version distributed free of charge.
Pro Version
The commercial version made available through Freemius.
License
The commercial subscription purchased through Freemius that entitles you to premium features, updates, and support.
3. Open-Source Licensing
StockPilot contains software distributed under one or more open-source licenses.
Nothing in this EULA is intended to restrict any rights granted under those applicable licenses.
Where an open-source license grants rights that conflict with this EULA, the applicable open-source license governs those portions of the software.
This EULA primarily governs commercial services provided by ZexeLabs, including premium features, software updates, technical support, licensing services, documentation, branding, and related services.
4. License Grant
Subject to your compliance with this EULA and any applicable subscription terms, ZexeLabs grants you a non-exclusive, non-transferable license to use the Pro version of StockPilot on the number of websites covered by your purchased license.
Current license tiers include:
- 1 Website
- 3 Websites
- 5 Websites
A separate license is required for use beyond your licensed activation limit.
5. License Activation
The Pro version uses the Freemius licensing platform to verify active subscriptions, manage software updates, and administer licenses.
Activation requires communication with Freemius’ licensing services.
Certain technical information may be processed as described in our Privacy Policy and Freemius’ Privacy Policy.
6. Subscription
An active subscription entitles you to:
- Premium features included in your purchased plan.
- Automatic software updates during the active subscription period.
- Priority email support.
- Access to your license through the Freemius Customer Portal.
If your subscription expires or is cancelled:
- your license may no longer receive updates;
- premium support may no longer be available; and
- premium functionality that requires an active license may become unavailable, depending on the product’s design.
7. Free Version
The Free Version may be used without purchasing a subscription.
Support for the Free Version is generally provided through the WordPress.org support forum once the plugin is publicly available there.
The Free Version is provided without any obligation to provide updates, support, or maintenance.
8. Ownership
StockPilot is licensed, not sold.
Except for rights expressly granted under this EULA or an applicable open-source license, all intellectual property rights remain the property of ZexeTech SRL.
This includes, where applicable:
- trademarks;
- branding;
- logos;
- website content;
- documentation;
- screenshots;
- graphics;
- marketing materials.
Your website content, WooCommerce store data, products, customers, orders, and business information remain your property.
9. Restrictions
You agree not to:
- use StockPilot in violation of applicable laws;
- use the software to infringe the intellectual property rights of others;
- remove copyright, trademark, or proprietary notices from documentation or branding;
- misrepresent your affiliation with ZexeLabs.
Nothing in this section limits rights granted by an applicable open-source license.
10. Support
Technical support is provided to customers with an active commercial subscription.
Support includes reasonable assistance with:
- installation;
- activation;
- configuration;
- documented functionality;
- bug reporting.
Support does not include:
- custom development;
- website administration;
- server management;
- third-party plugin troubleshooting;
- custom integrations unless separately agreed.
11. Updates
During an active subscription, ZexeLabs may provide software updates, bug fixes, improvements, compatibility releases, and security patches.
We are not obligated to provide updates indefinitely.
12. Third-Party Software
StockPilot may include or interact with third-party software, libraries, frameworks, or services.
Those components remain subject to their respective licenses and terms.
Nothing in this EULA replaces or overrides those licenses.
13. Warranty Disclaimer
To the fullest extent permitted by applicable law, StockPilot is provided “as is” and “as available.”
We do not guarantee that:
- the software will operate without interruption;
- every bug will be corrected;
- the software will be compatible with every hosting environment;
- the software will meet every customer’s requirements.
Customers are responsible for maintaining backups before installing or updating the software.
14. Limitation of Liability
To the fullest extent permitted by applicable law, ZexeTech SRL shall not be liable for indirect, incidental, consequential, special, or punitive damages arising from the use of StockPilot.
This includes, without limitation:
- lost profits;
- business interruption;
- loss of revenue;
- data loss;
- website downtime.
Nothing in this EULA excludes liability that cannot legally be excluded under applicable law.
15. Termination
This EULA remains effective until terminated.
We may suspend or terminate access to commercial services if:
- payment is reversed or charged back;
- fraud is suspected;
- these terms are materially violated;
- use of the services is unlawful.
Termination of commercial services does not revoke rights granted under any applicable open-source license for code already received.
16. Privacy
Our processing of personal information is described in our Privacy Policy.
Licensing services are provided through Freemius and are also subject to Freemius’ Privacy Policy where applicable.
17. Changes
We may revise this EULA from time to time.
The updated version will be published on our website with a revised “Last Updated” date.
Continued use of the software after changes become effective constitutes acceptance of the revised EULA.
18. Governing Law
This EULA is governed by the laws of Romania.
Any disputes arising from this EULA shall be submitted to the competent courts of Romania, except where mandatory consumer protection laws provide otherwise.
